Employee Free Product Program — Terms & Conditions
These terms and conditions ("Terms") govern participation in BodyBio Inc.'s ("Company") Employee Free Product Program (the "Program"), including online redemption through the Company's Shopify store. By participating in the Program, you agree to these Terms.
1. Eligibility
(a) Open to all active full-time and part-time employees of the Company.
(b) Interns, contractors, temporary staff, and former employees are not eligible unless separately authorized by HR.
2. Product Allowance & Redemption
(a) Eligible employees may receive up to two (2) products per calendar month at no cost.
(b) The monthly allowance does not roll over and cannot be accumulated across months.
(c) The Company may exclude certain products (e.g., new product launches, practitioner-only or clinical-line SKUs) from the Program at its discretion.
(d) Products are redeemed online through the Company's Shopify store by logging in with the employee's Company email address. Orders exceeding the monthly limit, or any applicable per-order value cap, will not be honored at no cost, and any additional items or amounts will be charged to the employee's payment method.
3. Login Credentials Are Non-Transferable
(a) Your Company email address and password may not be shared with anyone, including family members, friends, or coworkers.
(b) You are the only person authorized to log in and place orders using your account.
(c) The Company may deactivate or reset your credentials at any time if misuse is suspected.
4. Company Email Account
(a) Use of your Company email for Program orders is subject to the Company's IT and Acceptable Use policies.
(b) Because your Shopify account is tied to your Company email, access to the account ends automatically when your Company email account is deactivated, including upon separation from employment.
(c) Order confirmations, receipts, and account activity associated with your Company email are not private in the way a personal purchase would be, and may be visible to IT, HR, or store administrators in the ordinary course of business.
5. Personal Use Only
(a) Products received through the Program are for the employee's personal or household use only.
(b) Resale, distribution, gifting for commercial purposes, or use in connection with any outside business (including personal wellness or coaching practices) is strictly prohibited.
6. Gifting to Family Members
(a) Products ordered through the Program may be given to the employee's family members for their personal use. This remains within the personal/household use permitted under Section 5 and is not a substitute for, or a way to circumvent, the two-product monthly limit.
(b) Only the employee's own login may be used to place orders; family members may not create or use separate accounts to obtain additional free products.
7. No Cash Value
Products received through the Program have no cash value and cannot be redeemed for cash, credit, or exchanged for other value.
8. Standard Purchase Terms Apply
(a) All orders placed through the Program remain subject to the Company's website Terms of Service, including shipping, returns, and order cancellation policies, and the Company’s website Privacy Policy.
(b) Unless otherwise stated, the employee is responsible for applicable shipping costs and any taxes not covered by the Program.
9. Social Media & Endorsements
(a) Receipt of free product is not compensation for any review, testimonial, or endorsement.
(b) If an employee chooses to post about Company products on social media or elsewhere, the employee must clearly and conspicuously disclose their employment relationship with the Company (e.g., "#BodyBioEmployee"), consistent with FTC endorsement guidelines and the Company's Social Media Policy.
10. No Medical or Disease Claims
(a) Employees must not make, or imply, any medical or disease-related claims about Company products (e.g., that a product diagnoses, treats, cures, mitigates, or prevents any disease or medical condition), whether in social media posts, conversations with customers or the public, or any other communication.
(b) This restriction applies regardless of platform or audience and is in addition to, not a replacement for, the Company's Social Media Policy and FDA/DSHEA labeling and advertising requirements.
11. Health & Safety
(a) Dietary supplements are not intended to diagnose, treat, cure, or prevent any disease.
(b) Employees with allergies, medical conditions, or who are pregnant or nursing, or taking medication, should consult a physician before use.
(c) The Company makes no representation that any product is suitable for a particular individual's needs.
12. Monitoring & Revocation
The Company may monitor account usage — including through Shopify account-level or email-domain-based order limits — and may revoke account access, without notice, in cases of suspected abuse, including bulk ordering, resale, or sharing login credentials outside the Company.
13. Account Responsibility
The employee is responsible for maintaining the security of their login credentials and Shopify account, including any saved payment or shipping information, and for promptly reporting any suspected unauthorized access.
14. Tax Treatment
The value of products received through the Program may be treated as imputed income or a taxable fringe benefit under applicable federal and state tax law. Questions regarding tax treatment should be directed to Human Resources or Payroll.
15. Program Changes; No Entitlement
(a) The Program is offered at the Company's sole discretion and does not constitute a term or condition of employment, compensation, or a contractual entitlement.
(b) The Company may modify, suspend, limit, or discontinue the Program, in whole or in part, at any time and without prior notice.
16. Termination of Eligibility
Eligibility to participate in the Program, and account access for Program orders, ends automatically upon separation from employment, regardless of reason. Unused monthly allowances do not carry over or convert to any cash or other benefit.
17. Acknowledgment
By participating in the Program, I acknowledge that I have read, understand, and agree to be bound by these Terms.
